Terms of Service
Terms for using The AI Platform website, apps, hosted services, AI routing, specialists, and mini apps.
Agreement
These Terms of Service govern access to The AI Platform website, desktop app, mobile app, hosted services, model routing, specialist agents, mini apps, and related features provided by Zephyr Cloud, Inc. By creating an account, joining a workspace, downloading the app, or using the services, you agree to these terms.
If you use the services for an organization, you represent that you are authorized to accept these terms for that organization. If you do not agree, do not use the services.
Accounts and workspaces
You are responsible for the accuracy of account information, for protecting login credentials, and for all activity under accounts and workspaces you control. Organization owners and admins may manage members, billing, permissions, workspace data, providers, specialists, and integrations.
You must promptly tell us about unauthorized access or security issues affecting your account, workspace, providers, or connected systems.
Acceptable use
You may not use the services to violate law, infringe rights, compromise security, abuse infrastructure, or harm others. This includes attempts to:
- access systems, accounts, data, or models without permission;
- upload malware, exploit code, or intentionally disruptive content;
- harass, defraud, impersonate, or mislead people;
- extract secrets, credentials, personal data, or confidential data;
- circumvent rate limits, billing, monitoring, or safety controls;
- reverse engineer non-open-source parts of the services;
- send regulated or high-risk content unless your plan and configuration support it.
Your content and AI output
You keep ownership of prompts, files, messages, workspace data, specialist instructions, mini app materials, and other content you submit. You grant us the rights needed to host, process, secure, transmit, display, and operate that content for the services.
AI output may be incomplete, incorrect, duplicated, offensive, or unsafe for your intended use. You are responsible for reviewing output before relying on it, especially for legal, medical, financial, employment, security, safety, or other high-impact decisions.
Model providers, tools, and integrations
The services can route requests to third-party model providers, APIs, extensions, tools, identity providers, payment processors, and workspace integrations. Your use of those services may be governed by separate terms, privacy policies, usage limits, and data handling rules.
If you connect your own provider credentials or integrations, you are responsible for having the right to use them and for configuring access, retention, and security settings appropriately.
Software and updates
Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use The AI Platform apps for your internal work. The apps may download updates, security fixes, provider metadata, model catalog changes, and other operational configuration.
You may not copy, resell, sublicense, or distribute the services except as expressly allowed by us in writing or by an applicable open-source license.
Plans and billing
Paid features may require a subscription, usage credits, or other fees. Prices, included usage, limits, renewal timing, and cancellation options are shown at checkout or in product billing screens. You authorize us and our payment processors to charge applicable fees and taxes.
Unless the checkout flow or a separate written agreement says otherwise, subscriptions renew automatically until cancelled and fees are non-refundable except where required by law.
Security and confidentiality
We use technical and organizational measures designed to protect the services. You are responsible for choosing appropriate workspace settings, protecting credentials and API keys, reviewing specialist permissions, and controlling what content users submit.
You must not submit content you are not allowed to process through the services, connected tools, or selected model providers.
Availability and changes
We may add, change, suspend, limit, or discontinue features, providers, models, integrations, downloads, or plans. We may also suspend or terminate access if we believe use of the services violates these terms, creates risk, causes legal exposure, or threatens the services or other users.
Disclaimers
The services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy, and reliability.
Limitation of liability
To the fullest extent permitted by law, Zephyr Cloud, Inc. and its affiliates, officers, employees, contractors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business interruption.
To the fullest extent permitted by law, our aggregate liability for all claims relating to the services will not exceed the greater of 100 USD or the amounts you paid us for the services in the three months before the event giving rise to the claim.
Governing law
These terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, unless applicable law requires otherwise. Courts located in Delaware will have exclusive jurisdiction, unless applicable law requires a different forum.
Updates to these terms
We may update these terms from time to time. If changes are material, we will take reasonable steps to notify users, such as posting an updated effective date, showing an in-product notice, or sending email. Continued use after changes become effective means you accept the updated terms.
